Terms of Service and Privacy Policy
These Terms of Service (“Terms”) outline the agreement between Early Childhood Education Consulting (ECEC) (“we,” “our,” or “us”) and each client (“you,” “your,” or “the client”) engaging in consulting services. By participating in ECEC services, you acknowledge and agree to the following:
Confidentiality
ECEC is committed to maintaining the confidentiality of all information shared by clients. Any program, staff, family, or financial details provided during consultations, intake, or support services will remain confidential and used solely for the purpose of service delivery. Confidential information will not be disclosed to outside parties unless required by law or with prior written consent from the client.
Intellectual Property
All materials, resources, tools, and frameworks created by ECEC (including but not limited to documents, training modules, presentations, and guides) remain the intellectual property of ECEC. Clients are granted a limited, non-exclusive license to use these materials for their program’s internal, single-organization purposes only. If a client leaves their place of employment (program/center) they are prohibited from taking ECEC materials to a new employer. Materials may not be reproduced, distributed, sold, adapted or shared with external parties without written authorization from ECEC. If written authorization is provided, ECEC reserves the right to determine the terms of services for intellectual property use on a case by case basis. Any written authorization that is provided by ECEC to clients to reproduce, distribute, sell, adapt or share ECEC’s intellectual property, remains ECEC’s property and the authorization/contract can be terminated at any time by ECEC.
Payment Terms
Services are provided on a subscription basis unless otherwise agreed upon in writing.
Accepted payment methods include ACH and Credit Card.
Subscription fees are billed on the 1st of each month.
Subscriptions are auto-renewed each month unless canceled in writing. Clients may cancel their subscription via their ECEC member account.
Payment is required in full to maintain access to consulting services, member portals, and resources.
Late or missed payments may result in suspension or termination of services. See “Termination of Services” section for additional information regarding rights to terminate services.
Refund Policy
All payments are non-refundable.
Clients may cancel their subscription by providing written notice prior to the 1st of the upcoming month to avoid future charges.
No partial refunds will be issued for unused time within a billing cycle.
Privacy & Data Security
ECEC respects your privacy and is committed to protecting your personal and program-related information.
Information collected through intake forms, communications, or billing will only be used to deliver services.
Data may be stored securely for record-keeping, compliance, or service improvement.
While ECEC uses secure platforms (such as Squarespace, DocuSign, Stripe), we are not responsible for data breaches caused by third-party systems.
Clients may request access to or deletion of their personal data at any time, subject to compliance requirements.
Scope of Services
ECEC provides consulting and advisory services for early learning programs. Our role is advisory in nature — we do not provide legal, accounting, tax, or human resources services. Clients are responsible for seeking licensed professional advice in those areas.
Service Modification
ECEC reserves the right to update, modify, or refine its service offerings, processes, and pricing structures in order to improve quality and effectiveness. Any significant changes will be communicated to clients in advance. Continuation of services following notification of changes will be deemed acceptance of the updated terms.
Indemnification
Clients agree to indemnify and hold harmless ECEC and its representatives from any claims, liabilities, or expenses arising out of the implementation of consulting recommendations, except where directly caused by ECEC’s negligence or misconduct.
Scheduling & Use of Hours
Hours included in subscription tiers must be scheduled a minimum of 48 hours in advance.
Unused hours do not roll over to the following month unless otherwise agreed in writing.
In-person consulting or administrative work may be arranged, but travel fees may apply.
Appointments must be canceled and/or rescheduled by the client in writing a minimum of 24 hours before the appointment. Failure to comply may result in services being paused or terminated at the discretion of ECEC. For more information, see the “termination of services” section.

Limitation of Liability
While ECEC provides strategic consulting and tailored guidance, ultimate responsibility for program decisions rests with the client. Advice, consulting, guidance, etc. are recommendations only. ECEC does not guarantee specific outcomes, including (but not limited to):
Financial results
Licensing approvals
Accreditation status
Regulatory compliance outcomes
Licensing citations
Loss of funding
Regulatory action arising from client decisions
ECEC shall not be liable for indirect, incidental, or consequential damages, including financial losses, reputational impacts, or third-party actions.
Dispute Resolution
We value open communication and encourage clients to bring forward concerns so they can be resolved quickly. In the event of a dispute:
Both parties agree to attempt resolution through good-faith discussion.
If unresolved, disputes may be submitted to mediation (with both parties sharing the cost of mediation), or arbitration (binding) in accordance with Arizona law before legal proceedings are pursued.
Termination of Services
Clients may terminate services at any time with written notice prior to the next billing cycle.
ECEC reserves the right to terminate services if payment is not received, terms are violated, or continuation of the partnership is deemed no longer appropriate.
Immediate termination if client engages in unethical/illegal practices.
No refunds for early termination mid-billing cycle.
Upon termination, access to resources, consulting time, and subscription benefits will end immediately.
Force Majeure
ECEC is not liable for delays or interruptions in services caused by events outside our control, including natural disasters, illness, technology failures, or other unforeseen circumstances.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona. Any disputes will fall under the jurisdiction of Arizona courts.
Entire Agreement
These Terms constitute the entire agreement between the client and ECEC, and supersede any prior discussions, communications, or understandings.
Acknowledgment
By engaging in ECEC services, you confirm that you have read, understood, and agree to these Terms of Service.
